These Beta Test Terms & Conditions (the "Terms") govern your participation in the LedgerOptic beta testing program (the "Beta Program"). By accessing or using the LedgerOptic beta software (the "Beta Software"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Beta Software.
1. Nature of the Beta Program and Beta Software
The Beta Software is a pre-release, evaluation version of LedgerOptic's product. It is provided "as is" and "as available" for testing and evaluation purposes only. You understand and agree that the Beta Software:
- May contain bugs, errors, defects, or may not function correctly.
- May not be fully stable or reliable.
- May have incomplete features or performance limitations.
- May not be subjected to the same security or compliance standards as a final commercial release.
Your use of the Beta Software is at your sole risk. LedgerOptic makes no guarantees regarding its functionality, availability, or accuracy.
2. Eligibility and Participation
To participate in the Beta Program, you must be invited by LedgerOptic. LedgerOptic reserves the right to accept or decline any participant. Your participation is voluntary, and you can withdraw at any time by ceasing to use the Beta Software and notifying us at hello@ledgeroptic.com.
3. License Grant
Subject to these Terms, LedgerOptic grants you a limited, non-exclusive, non-transferable, revocable license to use the Beta Software solely for evaluation purposes as part of the Beta Program. This license does not grant you any rights to modify, distribute, sublicense, sell, reverse engineer, decompile, or otherwise exploit the Beta Software.
4. Intellectual Property
You acknowledge that LedgerOptic (and its licensors, where applicable) retains all right, title, and interest in and to the Beta Software, including all associated intellectual property rights (e.g., copyrights, trademarks, patents, trade secrets). These Terms do not grant you any ownership interest in the Beta Software.
5. Feedback and Data Usage
Your participation in the Beta Program is valuable to us for improving LedgerOptic. We will collect feedback and usage data as follows:

You agree to provide honest and constructive feedback regarding your experience with the Beta Software, including bug reports, suggestions for improvement, and any other comments. You may provide feedback via emails, in-app tools, phone calls, in-person discussions, and surveys. You agree that all feedback you provide becomes the sole property of LedgerOptic, and we may use it for any purpose (including product development, marketing, and public statements) without any obligation or compensation to you.
Usage Data:
You agree that LedgerOptic may collect usage data from the Beta Software during your participation. This includes information about how you interact with the software, features accessed, performance metrics, crash reports, and other relevant technical and usage information. This data helps us understand product performance and user behavior to identify and fix bugs, and improve the Beta Software. This data will be handled in accordance with LedgerOptic’s Privacy Policy.
6. Confidentiality
The Beta Software, its features, functionality, performance, and any non-public information or discussions related to the Beta Program are considered confidential information of LedgerOptic. You agree to:
- Keep all confidential information strictly confidential.
- Not disclose confidential information to any third party (including via screenshots, social media, or public forums) without LedgerOptic's prior written consent.
- Use confidential information solely for the purpose of testing the Beta Software as part of the Beta Program.
This confidentiality obligation does not apply to information that is publicly available (not due to your breach), or information you possessed prior to the Beta Program, or is required to be disclosed by law.
7. Data Privacy
Your personal information collected during the Beta Program, including any usage data, will be handled in accordance with LedgerOptic’s main Privacy Policy. By participating in the Beta Program, you acknowledge and agree to the terms of our Privacy Policy.
8. Disclaimers of Warranties
THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LedgerOptic does not warrant that the Beta Software will be error-free, uninterrupted, secure, or that any defects will be corrected.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEDGEROPTIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE BETA SOFTWARE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE BETA SOFTWARE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
LedgerOptic’s total liability for any claims arising out of or relating to these Terms or the Beta Program shall not exceed the amount paid by you to LedgerOptic, if any, for your participation in the Beta Program.
10. Termination
LedgerOptic reserves the right to terminate your participation in the Beta Program and your access to the Beta Software at any time, for any reason, with or without notice. Upon termination, your license to use the Beta Software will immediately cease, and you must discontinue all use of the Beta Software and destroy all copies in your possession. Sections 4, 5, 6, 8, 9, 11, and 12 shall survive any termination of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia, for the resolution of any disputes.
12. Miscellaneous
These Terms constitute the entire agreement between you and LedgerOptic regarding the Beta Program. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
